Terms and Conditions

This agreement describes the terms and conditions for becoming an Affiliate of Voice Dialogue Online. The terms "Affiliate," "you," and "your" refer to you, the applicant. "We" and "our" refer to Voice Dialogue Online. We are independent parties and this agreement will not form any partnership.

AGREEMENT DURATION
This agreement will begin upon our acceptance of your Affiliate application and will end when terminated by either party.

Termination may happen at any time, with or without cause, by giving the other party written notice of termination.

MODIFICATION
We may modify any of the terms and conditions in this Agreement at any time at our sole discretion. In such event, you will be notified by email. Modifications may include, but are not limited to, changes in the payment procedures and to the rules applicable to Affiliates. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation as an Affiliate following the posting of the change notice or new Agreement on our site will indicate your agreement to the changes.

COMMISSION FEES
You will receive 15% of the full fee of £295 (click to view the latest exchange rate) as a commission for registrations made by participants coming to the Voice Dialogue Online website using your unique Affiliate link.

For a sale to generate a commission to an Affiliate, a participant must complete the registration form and remit full payment for the Voice Dialogue Online Program.

Commission can only be earned in respect of registrations made between the acceptance of the Affiliate application and any subsequent notice of termination.

Commission will be paid in full 21 days after registration closes on each program. Any returned checks, chargebacks, or fees from a cancellation will be adjusted in the following fee payment. If no fee payment is due a billing invoice for the amount will be issued.

All payments will be made via Paypal. To receive payment, Affiliates will be required to supply their Paypal account details to Voice Dialogue Online.

As an Affiliate of Voice Dialogue Online, you will have access to a private page in the Affiliate Resource Center, where you will be able to review registrations made using your unique Affiliate link, and see any fees owing to you.

ORDER PROCESSING
Voice Dialogue Online will be solely responsible for processing every registration made by participants on the Voice Dialogue Online website. Participants who register for the Voice Dialogue Online Program via an Affiliate will be deemed to be customers of Voice Dialogue Online. Voice Dialogue Online will always determine the price paid by the participant and the number of participants on each program. We reserve the right to reject any registration that does not comply with our rules, operating procedures and policies.

WEBSITE RESTRICTIONS
Voice Dialogue Online reserves the right not to accept any person; company; or organisation as an Affiliate based on the site content of that person / company / organisation. Site content that would disqualify an Affiliate application includes those that:

Are X- rated and promote sexually explicit materials.
Promote violence and discord.
Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
Promote illegal or questionable activities.
Violate intellectual property rights.

SPAM (UCE)
Voice Dialogue Online in no way participates in mass unsolicited e-mailing (i.e. spamming), and all Affiliates are expected to adhere to this policy as well. Violation of this policy will result in the termination of this contract and immediate dismissal as an Affiliate of Voice Dialogue Online.

DISCLAIMER
We make no express or implied warranties or representations with respect to your potential to earn income as an Affiliate of Voice Dialogue Online. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for the consequences of any interruptions or down time.

CONFIDENTIALITY
All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked "Confidential," will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party.

LAW AND JURISDICTION
These Terms and Conditions shall be governed by and interpreted in accordance with the laws of England. Disputes arising in connection with these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this scheme and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.

By registering as an affiliate I acknowledge that I have read the terms of this agreement and I accept.
